These terms apply to the use of mirabeau-trust.com and to any service provided by MIRABEAU TRUST to a business client. In case of discrepancy, the French version prevails.
1. Service provider
MIRABEAU TRUST, SASU with a share capital of €500, registered office 64 rue Mirabeau, 92160 Antony, France, Nanterre Trade Register 938 112 711, SIRET 938 112 711 00016, EU VAT number FR30938112711, represented by Mr Benjamin Sichet, President. Phone: +33 6 95 91 96 09. Contact: roxane@mirabeau-trust.com.
2. Use of the website
The website is freely accessible. Its content is informative and is not personalised advice. Users agree not to disrupt its operation or to submit unlawful content, or third-party data without consent, through the form.
3. Clients
Services are intended exclusively for businesses (online sellers, companies and entrepreneurs), in France and abroad. They are not offered to consumers.
4. Services
MIRABEAU TRUST supports online sellers with their compliance formalities: VAT registration and returns (including OSS and IOSS), registrations and filings under extended producer responsibility (EPR), accounting support, company formation, customs formalities and remediation of overdue files. The exact scope of each engagement is set out in the quote or engagement letter.
Where regulations reserve a service to a licensed profession, or where it concerns another country, it is performed by a partner professional, coordinated by MIRABEAU TRUST, which remains the client's single point of contact.
5. Quotes and orders
Every engagement is subject to a written quote. The order becomes binding upon receipt of the signed quote or acceptance by email, and of any payment due on order. These terms prevail over the client's purchasing terms unless otherwise agreed in writing.
6. Prices and payment
Prices are in euros excluding VAT; applicable VAT is added. They generally consist of a monthly fee plus, where relevant, one-off registration fees. Taxes, fees and eco-contributions owed by the client to authorities or producer responsibility organisations are not included and remain payable by the client.
Unless stated otherwise on the invoice, invoices are payable within 30 days of issue. Late payment automatically incurs penalties at three times the French statutory interest rate and a fixed recovery fee of €40 (Articles L.441-10 and D.441-5 of the French Commercial Code). MIRABEAU TRUST may suspend work in case of non-payment after a reminder that remains unanswered for 8 days.
7. Client obligations
The client provides accurate, complete and up-to-date information and documents on time (articles of association, sales data, stock locations, volumes per category, access to marketplace reports) and promptly informs MIRABEAU TRUST of any change in circumstances. The client remains solely responsible for its tax and environmental obligations and for paying amounts due to authorities.
8. Obligations of MIRABEAU TRUST
MIRABEAU TRUST undertakes to perform the services with care and in compliance with applicable rules, under a best-efforts obligation. Timeframes for obtaining numbers and identifiers depend on the authorities and organisations concerned and are indicative.
9. Liability
MIRABEAU TRUST is not liable for the consequences of inaccurate, incomplete or late information provided by the client, for decisions of authorities, producer responsibility organisations or marketplaces, or for an account suspension that predates the engagement. Its total liability is limited to the fees excluding VAT received for the engagement concerned over the previous twelve months, except in case of gross negligence or wilful misconduct.
10. Confidentiality
Each party keeps confidential the information received from the other in the course of the engagement. This obligation continues for two years after the relationship ends.
11. Term and termination
One-off engagements end upon delivery. Recurring engagements are concluded for an indefinite term and may be terminated by either party in writing with one month's notice; filings due during the notice period remain payable and are carried out. In case of serious breach not remedied within 15 days of formal notice, the other party may terminate without notice.
12. Personal data
Data processing is described in the privacy notice.
13. Intellectual property
Documents delivered to the client are for its own use. MIRABEAU TRUST's methods, templates and tools remain its property, as does the website content.
14. Governing law and disputes
These terms are governed by French law. The parties will first seek an amicable solution. Failing that, the Commercial Court of Nanterre (Tribunal de commerce de Nanterre) has exclusive jurisdiction, including in case of multiple defendants or third-party claims.
